Job Summary
The Associate Legal Counsel works on various corporate law matters related to governance, regulatory compliance, subsidiary maintenance, and corporate transactions.
Responsibilities
Secretarial/Corporate Governance
Ensures proper documents and records are maintained for corporate entities to ensure compliance with applicable laws and regulations
Drafts minutes or resolutions of the Board and its committees
Regulatory
Advises on ad hoc legal or regulatory issues affecting Equinix's business, such as data protection, privacy, power regulation, renewable energy, and environmental, export controls and telecommunications to influence the regulatory agenda for the benefit of Equinix’s business
Develops and coordinates US and global regulatory management policies and programs that support regulatory issues where appropriate
Tracking & Process Management
Provides training on internal procedures, forms, and policies to ensure compliance with laws, regulations, and internal processes
Compliance
Drafts, advises on, interprets, enforces, and occasionally trains employees on company policies to ensure legal compliance and alignment with company values
Project Management
Participates in and contributes to global legal initiatives and project working groups to scale and maximize the effectiveness of the Legal department
Maintains Legal “data room”
Performs Legal research
Covers absences for Legal Counsel and Paralegal
Manages external legal counsel when necessary or local law input is required to provide legal support for the various activities referred to above
Assists Legal Counsel and Senior Legal Counsel with transaction support
Contract Management
Identifies any violations or potential violations of corporate governance rules with regard to the supplier and vendor contracting and notifies the appropriate parties so they can be properly addressed
Assists in developing, disseminating, and reviewing template contract documentation for procurement, including NDAs, standard tender process documentation, purchase T&Cs, etc., to ensure timely completion of contracts and alignment with Equinix's risk profile
Negotiation
Reviews, interprets, and negotiates agreements and transactions (construction, real estate, SNDA, estoppel, etc.)
Finance Support (including tax, treasury, IR and REIT)
Supports the Finance department in relation to the preparation and finalization of the US GAAP and local statutory accounts and the accompanying audit processes, including providing corporate documentation, reviewing and advising on representation letters, etc.
SEC Reporting & Nasdaq Listing
Prepares SEC disclosure documents
Intellectual Property
Identifies and advises on intellectual property related issues affecting Equinix’s business to ensure proper protection of Equinix intellectual property
Coordinates filings and maintenance of Equinix’s IP Portfolio
Qualifications
Proven years experience completing tasks similar to the above for a law firm or in-house legal department preferred
JD or equivalent required
Current active member of a state bar association or legal association applicable to jurisdiction of hire required
