Job Summary
The Legal Counsel is responsible for various corporate law matters related to governance, regulatory compliance, subsidiary maintenance, and corporate transactions.
Responsibilities
Secretarial/Corporate Governance
Ensures proper documents and records are maintained for corporate entities to ensure compliance with applicable laws and regulations
Identifies when Equinix Board of Directors approval is required and ensures proper approval is obtained to comply with Delaware law and federal securities laws
Regulatory
Advises on ad hoc legal or regulatory issues affecting Equinix's business, such as data protection, privacy, power regulation, renewable energy, and environmental, export controls and telecommunications to influence the regulatory agenda for the benefit of Equinix’s business
Develops and coordinates US and global regulatory management policies and programs that support regulatory issues where appropriate
With regard to Equinix business or legal positions, advocates to and influences government regulatory bodies for the benefit of Equinix's business
Tracking & Process Management
Provides training on internal procedures, forms, and policies to ensure compliance with laws, regulations, and internal processes
Oversees litigation holds
Compliance
Drafts, advises on, interprets, enforces, and occasionally trains employees on company policies to ensure legal compliance and alignment with company values
Partners with business assurance services, or other compliance groups, to ensure all company policies align with Equinix's risk profile
Project Management
Advises on, facilitates, and manages resolution of any legal threats to Equinix’s business interests
Manages external legal counsel when necessary or local law input is required to provide legal support for the various activities referred to above
Participates in and contributes to global legal initiatives and project working groups to scale and maximize the effectiveness of the legal department
Attends to special projects for the Legal Department from time to time as needed
Contract Management
Identifies any violations or potential violations of corporate governance rules with regard to the supplier and vendor contracting and notifies the appropriate parties so they can be properly addressed
Assists in developing, disseminating, and reviewing template contract documentation for procurement, including NDAs, standard tender process documentation, purchase T&Cs, etc., to ensure timely completion of contracts and alignment with Equinix's risk profile
Drafts, revises, and maintains global intercompany agreements
Negotiation
Prepares, reviews, and provides ongoing interpretation and negotiation of all agreements and transactions (construction, lease, property, etc.) to ensure timely completion of contracts and alignment with Equinix's risk profile
Provides legal and regulatory interpretation and advice, as well as preparation, review, and negotiation of all necessary documents, to support any corporate or commercial transactions (mergers, acquisitions, joint ventures, partnerships, loans, debt offerings, equity offerings, etc.)
Finance Support (including tax, treasury, IR and REIT)
Supports the Finance department in relation to the preparation and finalization of the US GAAP and local statutory accounts and the accompanying audit processes, including providing corporate documentation, reviewing and advising on representation letters, etc.
Supports Equinix’s status as a United States REIT and undertakes all legal work necessary to maintain compliance with Equinix’s REIT status, including review for REIT compliance of transactions and arrangements entered into by the company globally
Actively participates as U.S. corporate Subject Matter Expert for REIT purposes
Partners with outside REIT counsel on relevant REIT-related regulation and IRS interactions
Implements global tax “step plans”
Supports Equinix’s public and private financing activity from both a transactional and corporate governance perspective, including oversight of diligence reviews and closings
Provides support for all other capital structure related activity
SEC Reporting & Nasdaq Listing
Continuously reviews Equinix business activities for SEC disclosure obligations
Coordinates with Legal Department and other Equinix personnel to prepare or review all SEC disclosures, including annual, quarterly and current reports
Prepares annual proxy statement, including CD&A
Oversees organization of annual meeting of stockholders
Briefs stakeholders on relevant securities laws as needed
Stays informed as to new or amended rules and regulations from SEC or Nasdaq impacting Equinix and develops and oversees plan for compliance
Ensures Nasdaq listing compliance
Mergers and Acquisitions
Assists in development and execution of tax planning strategies for U.S. M&A and other material transactions, including integration planning and execution
Intellectual Property
Identifies and advises on intellectual property related issues affecting Equinix’s business to ensure proper protection of Equinix intellectual property
Qualifications
JD or equivalent required
1+ years of relevant law firm experience preferred
Current active member of a state bar association or legal association applicable to jurisdiction of hire required

United States - Other posted locations not specifically listed : 177,000 - 265,000 USD / Annual
United States - CA Non-Bay Area, AK, CT, DC, IL, MD, MA, NJ, NY, VA, WA : 195,000 - 293,000 USD / Annual
United States - PH1 Philadelphia : 177,000 - 265,000 USD / Annual
Our pay ranges reflect the minimum and maximum target for new hire pay for the full-time position determined by role, level, and location.The pay range shown is based on our compensation structure in place at the time of posting and may be updated periodically based on business needs. Individual pay is based on additional factors including job-related skills, experience, and relevant education and/or training.
The targeted pay range listed reflects the base pay only and does not include bonus, equity, or benefits. Employees are eligible for bonus, and equity may be offered depending on the position.
