We are seeking an intelligent, energetic and highly motivated candidate to fulfill this role – Legal Counsel, Corporate.  The successful candidate will work on a broad spectrum of legal, corporate and transactional matters, including merger & acquisitions (M&A), joint ventures, other partnerships, corporate restructuring, real estate and other corporate related transactions and matters in the Asia Pacific region.

Responsibilities

  • Being a close partner to the business, the successful candidate will assist in a broad spectrum of legal, corporate and transactional matters, including M&A, joint ventures, other partnerships, corporate restructuring, real estate and other corporate related transactions and matters in the Asia Pacific region.

  • Provide legal support for M&A transactions in the APAC region, including legal due diligence, negotiating transaction documents and ancillary agreements (eg: transitional arrangements, etc), corporate and tax structuring arrangements and all associated advisory work, working with the Corporate Development team and other internal stakeholders to meet Equinix business objectives and ensure Equinix’s interests are protected.

  • Work closely with other members of Equinix’s One Legal team, provide ongoing support for the integration of any newly acquired or organically built businesses in the APAC region in line with the Company’s integration strategy, including representing One Legal on cross functional integration teams and acting as a clearing house for post-closing or market rollout’s legal or regulatory issues.

  • Provide legal support for the entry into and ongoing support and maintenance of any joint venture and/or partnership agreements forming part of Equinix’s APAC business, and all associated advisory work.

  • Advise on any issues arising under anti-trust/competition laws or foreign investment rules and regulations, and working with other One Legal personnel on regulatory matters associated with M&A and new markets’ activities and other corporate related transactions or matters in the AsiaPacific region.

  • Have a sound understanding of business decisions related to Equinix’s status as a REIT.

  • Providing legal advice and responding to queries relating to contracts and corporate matters, working closely with the business stakeholders, in particular the Corporate Development Team.

  • Provide general legal advice in support of Equinix’s business activities, including drafting, reviewing and negotiating a wide range of corporate, corporate restructuring, financing, joint ventures, partnership and real estate and construction related agreements.

  • Conduct presentations, training and educate the business team members on legal review processes and procedures.

  • Function as part of the Global & Regional Business Affairs (Asia Pacific) Team and wider One Legal team, including engaging with other departments, providing input on a wide variety of corporate and real estate related issues, undertaking any  global projects, initiatives, deals, corporate or other commercial transactions or matters as may arise or be assigned.

Qualifications

  • Law degree from a recognised university and possesses at least 6 years’ post qualification experience; with some experience in a law firm. The ideal candidate should have strong M&A and corporate transaction and general corporate experience. Admitted to practice in any commonwealth jurisdiction.

  • Proficiency in Chinese or another Southeast Asian language will be a plus as the role provides APAC coverage and may require to review and draft in Southeast Asian language.

  • Prepared to use technology in managing day to day tasks. Articulate, with great communication and drafting skills.

  • Independent, organised, able to prioritise effectively to meet deadlines, address risk, achieve results, an effective time manager with strong interpersonal skills with a focus on teamwork and ability to foster/manage relationships across multiple departments.

  • Adaptable and commercially solution-oriented, must be willing to work and collaborate with the business to address tough legal and regulatory challenges in the digital and information age.

  • Ability and drive to take initiative and ownership of projects and tasks.

  • Ability to handle multiple assignments and projects simultaneously. Willing to be part of a Legal team supporting a growing global business in a very dynamic sector and therefore, must be willing to be a team player and to work on a wide range of corporate related transactions and matters.
