The M&A Finance team is part of the core cross-functional team that supports Equinix’s M&A activities. The M&A Finance team is primarily responsible for:

  • Managing and reviewing financial due diligence
  • Review accounting valuation and support the audit of the transaction post-close.
  • Provide general accounting and finance support for the Company’s acquisitions, minority investments, divestitures, and joint ventures initiatives
  • Review Letter of Intents, Term Sheets, Sale and Purchase Agreements and Purchase Price adjustments as applicable.
  • Assist in the construction and review of the Deal model.
  • Coordination of M&A activities across other finance workstreams viz. Tax, Treasury, Global Risk, FP&A, Integration, and Technical Accounting.
  • Managing sign to close of the transactions.

Job Responsibilities:

The M&A Senior Manager role will have the primary responsibility of driving the accounting valuation for all deals and can also assist (on a need basis) the team with secondary M&A Finance activities including but not limited to financial due diligence, review of the deal model, review of deal agreements, and managing sign to close. Responsibilities are outlined below:

  • Identify the assets to be valued as per ASC 805 for acquisitions in consultation with the Technical Accounting team and assist with collecting inputs relevant to complete the valuation.
  • Perform a detailed review of the accounting valuation assumptions including but not limited to churn, customer retention rates, discount rates etc.  
  • Perform a comprehensive review of accounting valuation performed by the valuation specialists comprising real property assets, personal property assets and intangible assets.
  • Oversee external valuation specialists and ensure valuation workstreams are completed in an accurate and timely manner
  • Manage discussions with internal business partners (Fixed Assets, Technical Accounting, Integration) and external stakeholders (independent auditors & valuation specialists) for appropriate recording of the assets acquired.
  • Assist the team on  due diligence review and communicate findings to internal stakeholders (FP&A, Corporate Development, Technical Accounting); assess and synthesize risks and returns for Equinix.
  • Analyze target company information which include review of historical and projected financial and operating trends, identification of quality of earnings and working capital considerations, accounting policy differences, potential liabilities and risks which may impact valuation.
  • Ability to distill and communicate diligence findings and integration plans to internal business partners
  • Assist to perform in-depth review of financial models and assess key assumptions and inputs used in the model.
  • Program management and cross-functional coordination as required by needs of new and ongoing projects.

Qualifications:

  • 5+ years of M&A valuation experience, FP&A.
  • Big 4 Valuations experience or M&A Finance experience a plus.
  • CPA/CFA preferred.
  • Completed deals with an experience in conducting or reviewing ASC 805 valuation of Tangible/Intangible assets and ASC 842 lease valuation.
  • Proficiency with US GAAP accounting application preferred (including Revenue Recognition, Share-Based Compensation, Business Combinations, Goodwill/Intangible Assets).
  • Analytical mindset that focuses on risk evaluation and mitigation.
  • Strong verbal and written communication skills.
  • Comfortable working with diverse teams in multiple locations and across time zones.
