Primary Roles and Responsibilities:
Being a close partner to the business, the successful candidate will assist in a broad spectrum of legal, compliance and corporate secretariat matters within Equinix’s business, with a particular focus on the Equinix business in Japan.
Advise on legal matters and projects; working closely with and providing strategic guidance to the business, especially the internal functional teams including Corporate Development Team, Sales and Sales support teams, Real Estate Team, the Construction and Design Team, the Human Resources Team, Products Team, to support the Company’s expansion activities as well as day-to-day activities and operations in Japan.
Assist to implement and maintain the Company’s regulatory and compliance program, including policies and procedures, deliver training addressing employee needs and regulatory and compliance requirements as well as enhancing employee awareness and knowledge of regulatory requirements and practices in Japan.
Work with members of the global and regional Equinix legal team and external counsels where required.
Manage a team of legal counsels based in Tokyo, Japan. At the moment, there is one direct and one dotted line report to this role.
Provide pragmatic and commercially focused legal advice and respond to queries on a wide range of corporate contracts, including prosecuting and defending litigation and/or insurance claims and dealing with contentious customer issues, if required.
Draft, review, and negotiate contracts, including commercial (retail and hyperscale) contracts , to ensure Equinix’s interests are protected; and to liaise with colleagues globally where needed.
Identify contracts that do not comply with Equinix policies, processes, and procedures and escalate issues to stakeholders/approvers and to the appropriate party to address non compliance.
Provide strategic advice specific to regional and global legal teams including updates on changes to Japan laws and recommending how to handle their impact; providing strategic advice on commercial contracts in Japan; and working with the regional and global commercial teams to ensure consistency.
Conduct presentations, train and educate the business team members on legal review processes and procedures, legal documents and applicable laws.
Handle any other work as directed by the Vice President Legal AP.
Function as part of the wider global legal team, including engaging with other departments, providing input on corporate issues, undertaking any global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned.
Qualifications and Skills
JD (Doctor of Jurisprudence Degree) or equivalent from a recognised university and with about 12-15 years’ post qualification experience (all or most in Japan); with some experience in a reputable law firm.
Having prior in-house experience in an MNC will be an advantage.
Admitted to practice in Japan.
Prepared to use technology including contracts management system and online corporate secretariat system.
Articulate, with great communication and drafting skills and highly effective in both Japanese and English.
Competent, accurate, proactive, resourceful, independent, organised, solutions-oriented, able to prioritise effectively to meet deadlines, address risk, achieve results, an effective manager with strong leadership and interpersonal skills with a focus on teamwork and ability to foster/manage relationships across multiple departments.
Role will be located in Tokyo, Japan and some travel expected within and outside Japan for work assignments.
