Job Summary
We are seeking for an intelligent, energetic and highly motivated candidate to fulfill this role – Legal Counsel, Corporate, xScale - for our xScale business The successful candidate will work on a broad spectrum of legal, corporate and transactional and advisory matters, focusing primarily on Merger & Acquistions (M&A), joint ventures, monetizations, financings, corporate restructuring and other corporate and related real estate and energy transactions, with a global scope, but primiarly focused in the Asia-Pacific region.
Responsibilities
Act as a member of the team developing specific expertise to support our xScale business within Equinix, including a deep knowledge of the JV contractual structures, and leverage the expertise of Equinix in developing and operating world class xScale data centers
Support for corporate law aspects of expansion of the xScale business, including support for any M&A transactions conducted through the xScale joint ventures, negotiating and advising upon joint venture agreements with investor partners and all ancillary corporate agreements to support the xScale business model, working closely with our Tax and Treasury teams to structure these corporate arrangements in an optimal way for Equinix and the JV, advising on structuring issues, advising on use of legal entities, incorporation of new entities, etc.
Support for corporate law aspects of any exit of investors from xScale joint ventures or other monetization solutions that the xScale business may pursue from time to time
Lead corporate restructuring projects within the xScale business portfolio, including undertaking company statutory mergers or transfers of assets, share recapitalizations, capital calls and draw downs, etc., working closely with Tax and Treasury
Coordinate legal due diligence across various joint venture set up, monetarization and financing workstreams. Archiving project information and monitoring any open actions after project closure
Assist with drafting and negotiating NDAs, simple consents, notices and other straightforward corporate and / or real estate documents
Have a sound understanding of business decisions related to Equinix’s status as a REIT
Advise the xScale business and other functional teams on ad hoc corporate legal or regulatory issues affecting the xScale joint venture business, including guidance on matters such as governance, structuring matters, rights and obligations under the joint venture partnership agreement and the commercial agreements between Equinix and the JV entities, advising upon Directors’ duties etc, working closely with the business stakeholders, in particular the xScale Corporate Development and Asset Management teams and broader business stakeholders
Initiate and lead improvement initiatives, such as putting in place processes and tools that promote efficient delivery of legal support to the xScale business and cross functional collaboration
Liaise with external legal counsel in various jurisdictions engaged to provide legal support for the various xScale business activities referred to above, where local law input is required including managing a legal subject and relationships with external legal counsel
Function as part of the xScale Legal and wider global One Legal team, including engaging with other departments, providing input on corporate and real estate related issues, undertaking any global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned
Qualifications
Law degree with 5+years’ post qualification experience; with some experience in a law firm. The ideal candidate should have strong M&A and corporate transaction experience. Admitted to practice in any commonwealth jurisdiction
Prepared to use technology in managing day to day tasks. Articulate, with great communication and drafting skills
Competent, accurate, proactive, resourceful, independent, organised, able to prioritise effectively to meet deadlines, address risk, achieve results, an effective time manager with strong interpersonal skills with a focus on teamwork and ability to foster/manage relationships across multiple departments
Adaptable, flexible, pragmatic and solution-oriented, you must be willing to work and collaborate with the business to address tough legal and regulatory challenges
Ability and drive to take initiative and ownership of projects and tasks
Location
Based in Singapore and prepared to travel regionally and internationally for work.
